This Executive and Advisory Disclaimer (“Disclaimer”) applies to all users of the Company’s premium-tier executive products, including high-touch SmartHire executive products and high-touch LaunchPad executive products (collectively, the “Executive Services”). By accessing, purchasing, or engaging with any Executive Service, you acknowledge that you have read, understood, and agree to be bound by this Disclaimer in its entirety. This Disclaimer is incorporated by reference into the Terms and Conditions and Refund and Access Policy. In the event of conflict, the Terms and Conditions govern.

1. Scope of Executive Services

1.1 “Executive Services” means premium-tier products and engagements offered by CapCore Systems, LLC, including without limitation: Executive LinkedIn Done-With-You, Executive Presence Coaching, Performance Review Mastery, Founder OS, and any other product or service designated as a premium executive offering on capcoresystems.com.

1.2 All Executive Services are part of either the SmartHire Toolkit pillar (career-focused executive products) or the LaunchPad pillar (business-focused executive products). The Company does not operate a separate “Executive Advisory” business line; all executive offerings are categorized under one of the two product pillars.

2. Custom and Personalized Nature

All Executive Services are custom-generated, individually tailored, and specific to each Client’s unique goals, circumstances, industry, and profile. All deliverables — including coaching outputs, frameworks, scripts, positioning materials, business plans, and supporting strategy documents — are created exclusively for the individual Client and cannot be repurposed, resold, or applied to any other party. This custom and personalized nature is the foundational, contractual basis for the no-refund policy described in Section 7.

3. No Fiduciary or Professional Relationship

CapCore Systems, LLC does not act as an employer, recruiter, placement agent, fiduciary, investment advisor, legal counsel, accountant, tax advisor, or licensed financial advisor. Engagement with any Executive Service does not establish an attorney-client relationship, financial advisory relationship, broker-dealer relationship, or any fiduciary duty. The Company is a provider of AI-powered tools and structured guidance, not regulated professional advice.

4. No Guarantee of Career or Compensation Outcomes

CapCore Systems, LLC makes no guarantee, representation, or warranty — express or implied — that use of any Executive Service will result in:

Job placement, career advancement, promotion, or securing any specific position or title;
Compensation increases, salary improvements, bonus agreements, equity grants, or any specific negotiation outcome;
Positive responses from employers, recruiters, hiring committees, boards of directors, or other third parties;
Accelerated career trajectory, industry recognition, personal brand growth, or media exposure;
Any specific return on investment related to the Client’s career or professional standing.

All career and compensation outcomes depend on factors entirely outside the Company’s control, including individual qualifications and effort, employer policies, labor market conditions, economic conditions, third-party hiring decisions, and circumstances unique to each Client.

5. No Guarantee of Business or Revenue Outcomes

For Clients utilizing LaunchPad-pillar Executive Services, CapCore Systems, LLC makes no guarantee, representation, or warranty that any Executive Service will result in:

Acquisition of clients, customers, accounts, partnerships, or contracts;
Specific revenue generation, revenue growth, profit margins, or return on investment;
Responses to AI-generated outreach, proposals, or marketing materials;
Market share growth, competitive positioning, or business scalability;
Any specific financial, operational, or strategic business result.

The Client assumes full and sole responsibility for all business decisions made in reliance upon any Executive Services deliverable.

6. Informational and Educational Purpose Only

All recommendations, scripts, frameworks, strategies, AI-generated outputs, and materials delivered through Executive Services are for informational and educational purposes only. They are not legal advice, financial advice, tax advice, investment advice, medical advice, psychological advice, or any other form of regulated professional advice. The Client is strongly encouraged to seek independent qualified professional advice before making any significant career, compensation, business, financial, or legal decision.

7. No Refund — Executive Services

All Executive Service fees are non-refundable once payment has been received or work has commenced. There is no money-back guarantee, satisfaction refund, partial refund, prorated refund, or credit available for any Executive Services engagement. Any reference to a “30-day guarantee,” “money-back guarantee,” “satisfaction guarantee,” or substantially similar language in any historical material is expressly superseded and nullified by this Disclaimer, the Terms and Conditions, and the Refund and Access Policy as of the Effective Date stated above.

Quality Commitment. If a Client has a documented, specific concern about the quality, accuracy, or alignment with stated objectives of a delivered work product — distinct from the outcome or result — the Client may contact info@capcoresystems.com within fourteen (14) calendar days of delivery, identifying the specific deliverable, the date of delivery, and the specific concern, with reasonable supporting documentation. The Company will review the concern and, where reasonable and within the original scope of the engagement, work in good faith to revise, refine, or supplement the deliverable. The sole remedy is good-faith remediation of the deliverable. No monetary compensation, refund, credit, exchange, set-off, or other monetary relief is available under any circumstance.

8. Confidentiality

The Company makes reasonable commercial efforts to protect Client information consistent with the Privacy Policy. However, absolute confidentiality cannot be guaranteed. Clients are advised not to share highly sensitive, classified, attorney-client privileged, or legally protected information through any Company platform, tool, or service. The Company does not use Client inputs or outputs to train, fine-tune, or improve any artificial intelligence model owned, controlled, or commercialized by the Company.

9. Limitation of Liability — No Personal Liability to the Company or Its Owners

9.1 To the fullest extent permitted by applicable law, CapCore Systems, LLC, its members, managers, officers, principals, owners, employees, contractors, agents, and affiliates (collectively, the “Company Parties”) shall bear no liability — personal, individual, or professional — for any loss, damage, harm, or adverse outcome resulting from a Client’s use of, reliance upon, or interpretation of any Executive Service deliverable, recommendation, output, or related communication.

9.2 The Company Parties shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Executive Services, including without limitation lost compensation, lost business opportunity, loss of employment, loss of customers or revenue, reputational harm, or loss of anticipated advancement.

9.3 Aggregate Liability Cap. The Company Parties’ total aggregate liability for any and all claims arising from or relating to the Executive Services shall not exceed the lesser of (a) the total amount actually paid by the Client to the Company for the specific Executive Service in the ninety (90) days immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100). This cap is consistent with Section 7.2 of the Terms and Conditions and applies in the aggregate to all claims of every kind.

9.4 No Personal Liability. Under no circumstances shall any individual member, manager, officer, principal, employee, contractor, agent, or owner of CapCore Systems, LLC be personally liable for any claim, loss, damage, or cause of action relating to any Executive Service. All liability rests exclusively with the entity CapCore Systems, LLC, subject to the caps and exclusions in Sections 9.2 and 9.3. The Client expressly waives any right to assert any claim against any individual associated with the Company.

10. Indemnification

The Client agrees to defend, indemnify, and hold harmless the Company Parties from and against all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising from or relating to: the Client’s use of any Executive Service; the Client’s reliance on any deliverable, output, or recommendation; the Client’s violation of this Disclaimer, the Terms and Conditions, or any law; or any third-party claim concerning the Client’s use of any Executive Service output.

11. Dispute Resolution and Class-Action Waiver

11.1 Required First Step. Any concern must first be submitted in writing to info@capcoresystems.com within fourteen (14) calendar days. The Company will respond within five (5) business days. The parties agree to engage in good-faith informal resolution for at least thirty (30) calendar days before any formal proceeding.

11.2 Governing Law and Venue. This Disclaimer is governed by the laws of the State of Indiana. Any unresolved dispute shall be brought exclusively in the state or federal courts located in Hamilton County, Indiana, and the Client consents to personal jurisdiction and venue there.

11.3 Class-Action and Jury Waiver. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CLIENT AND THE COMPANY EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING, AND EACH WAIVES ANY RIGHT TO A TRIAL BY JURY.

11.4 Time Limitation. Any claim must be brought within one (1) year after the cause of action accrues, or it is permanently barred.

12. Modifications and Severability

The Company may modify this Disclaimer at any time by posting the revised version to capcoresystems.com with an updated “Last Updated” date. Continued use of any Executive Service after the effective date constitutes acceptance. If any provision of this Disclaimer is held unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.
