By accessing and using the products and services provided by CapCore Systems, LLC (“Company,” “we,” or “us”), including but not limited to SmartHire™, AI Career Accelerator™, AI Business Builder™, ClarityOS™, The Elevation Collective™ membership, and the Executive Advisory service (collectively the “Services”), you (“User,” “you”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with any part of these Terms, you must not access or use the Services.

2. Use of Services

Eligibility: You must be at least 18 years old to use our Services.

License: We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal or business purposes, subject to these Terms. You may not resell, redistribute, or transfer the Services to any third party without our written consent.

Prohibited Conduct: You agree not to:

• Violate any applicable laws or regulations;
• Attempt to reverse engineer, decompile, or otherwise attempt to extract source code from our software;
• Use the Services to develop competing products;
• Use any automated systems (robots, spiders, etc.) to access the Services;
• Share login credentials or access to the Services with anyone outside your organization unless expressly permitted.

3. Intellectual Property

All content, trademarks, service marks, logos, and intellectual property associated with CapCore Systems are owned by the Company or its licensors. Nothing in these Terms grants you any rights to use our intellectual property without our prior written consent.

4. AI-Generated Content

Informational Use: The Services use artificial intelligence (“AI”) to generate drafts, suggestions, and other outputs. These outputs are for informational and educational purposes only and do not constitute professional career advice, business advice, legal advice, or financial advice.

No Guarantees: AI-generated outputs are provided on an “AS IS” basis and may contain errors or inaccuracies. You are solely responsible for reviewing and verifying any outputs before relying on them. We make no warranties, express or implied, regarding the accuracy or completeness of AI outputs.

5. Payment and Refunds

Pricing: Prices for our products, tiers, and membership plans are displayed on our website and are subject to change.

Subscriptions: Memberships renew automatically unless cancelled prior to the renewal date. You authorise us to charge your payment method for each renewal.

Refunds: Because our offerings include digital products and services delivered immediately, all sales are final and non-refundable, except as required by law or expressly stated in a specific product description.

6. Limitation of Liability

To the fullest extent permitted by law, CapCore Systems and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of, or inability to access or use, the Services;
• Any conduct or content of any third party on the Services;
• Any AI-generated outputs or other information obtained through the Services;
• Unauthorised access, use, or alteration of your transmissions or content.

Our total liability for any claims arising out of or relating to the Services is limited to the amount you paid, if any, for the Services within the 12 months preceding the claim.

7. Indemnification

You agree to indemnify and hold harmless CapCore Systems, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, damages, liabilities, losses, and expenses (including attorneys’ fees) arising out of or relating to your use of the Services or violation of these Terms.

8. Termination

We reserve the right to suspend or terminate your access to the Services at any time, without prior notice or liability, if you breach these Terms or engage in activities that could harm the reputation or functionality of the Services.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Hamilton County, Indiana.

10. Modifications to Terms

We may update these Terms from time to time. We will notify you of any changes by posting the revised Terms on our website. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the new Terms.
